Terms of Use

AlpacaLingua is operated by UnixBox Corp, a New York corporation doing business as AlpacaLingua ("AlpacaLingua", "we", "us"). These Terms of Use explain the rules for using our website, student portal, teacher tools, learning materials, lessons, and related services (the "Service").
By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. About AlpacaLingua
AlpacaLingua is an online English school that provides teacher-led lessons, structured curriculum, homework, materials, progress tracking, scheduling, and related learning tools.
AlpacaLingua may offer private lessons, group classes, trial lessons, and free introductory sessions depending on availability and the plan you select at checkout.
2. Accounts
To use most features of the Service you need an account. You agree to:
- provide accurate information;
- keep your login credentials secure;
- use only your own account;
- not share your account with other people;
- notify us promptly if you believe your account has been accessed without permission.
You are responsible for all activity that happens through your account.
3. Age Requirements and Minors
The Service is intended for users aged 13 or older. A user aged 13 to 17 may only use the Service with the permission of a parent or legal guardian, who accepts these Terms on the minor’s behalf and remains responsible for the account.
We do not knowingly permit users under 13 to create an account or use the Service without verifiable parental consent obtained in advance. A parent or guardian who wishes to enroll a student under 13 must contact support@alpacalingua.com before an account is created so that the required consent process can be completed under our Parent or Guardian Consent Agreement.
If we learn that a user under 13 has used the Service without the required parental consent, we will suspend or delete the account and any associated personal information as described in our Privacy Policy.
4. Students
Students are responsible for attending scheduled lessons on time, completing assigned homework, communicating respectfully, and using the Service for personal learning purposes only.
Access to lessons, materials, homework, teacher feedback, and progress tracking depends on the active plan, teacher assignment, payment status, and platform availability.
5. Teachers
AlpacaLingua assigns a qualified teacher to each Student. While we aim to maintain continuity with the assigned teacher, we do not guarantee that the same teacher will remain available throughout the Student’s enrollment. AlpacaLingua may replace a teacher when reasonably necessary and will notify the affected Student or Parent.
Teachers must manage lessons professionally, follow the Safeguarding Policy and Code of Conduct, review homework when applicable, update Student progress, and use the Service only for authorized teaching activities. Teachers may not upload, share, or use materials that they do not have the right to use.
6. Learning Materials
AlpacaLingua provides original curriculum, lesson materials, homework, PDFs, worksheets, notes, exercises, and other educational content. Ownership and permitted use are described in the Intellectual Property and Copyright Policy.
Unless clearly stated otherwise, AlpacaLingua materials may not be copied, resold, publicly shared, redistributed, or used outside the Service without written permission. Students receive a limited, personal, non-transferable license to use materials for their own learning.
7. Payments and Subscriptions
Some services require payment. The applicable price, billing period, number of included lessons, introductory price, renewal price, and cancellation instructions are shown at checkout and must be accepted before payment.
Recurring subscriptions renew automatically on the same calendar day on which the first paid subscription period began, unless a different renewal date is clearly shown at checkout. You may cancel a recurring subscription at any time before the next renewal through the Stripe customer portal accessible from your account.
Payments are processed by Stripe. AlpacaLingua does not store full card numbers on our servers. Complete rules for billing cycles, renewals, failed payments, and price changes are set out in the Subscription and Automatic Renewal Policy.
8. Cancellations, Missed Lessons, and Refunds
Rescheduling, missed lessons, no-shows, and teacher cancellations are governed by the Class Rules, Rescheduling and No-Show Policy. Refunds, lesson credits, and chargebacks are governed by the Refund, Credit and Cancellation Policy.
Except where required by law or clearly stated in those policies, payments for lessons already delivered, reserved, or missed without required notice are not refundable.
9. Lesson Recording
AlpacaLingua may record a lesson when reasonably needed for safety, quality review, complaint handling, or teacher training. Not every lesson is recorded. When a lesson is recorded, notice is provided before or at the start of the lesson. For a Student under 18, parental consent to recording under the Parent or Guardian Consent Agreement must be in place before a recorded lesson may proceed. Students and Teachers may not make their own recordings of lessons.
10. Acceptable Use
You agree not to:
- use the Service for illegal, harmful, abusive, or fraudulent activity;
- harass or threaten teachers, students, administrators, or support staff;
- upload harmful files, malware, spam, or misleading content;
- attempt to access another user’s account or private data;
- copy, scrape, reverse engineer, or misuse the Service;
- share offensive, discriminatory, sexual, violent, or otherwise inappropriate content;
- move lesson-related communication with a minor or a teacher off the Service (for example to personal WhatsApp, social media, or disappearing-message apps);
- create multiple accounts to abuse trials, discounts, or promotional offers;
- use the Service to promote or advertise other services.
We may warn, suspend, or terminate accounts that violate these rules, subject to the Complaints and Dispute Resolution Policy.
11. Communication
The Service includes messages, support forms, lesson notes, teacher feedback, and notifications. By using AlpacaLingua, you agree that we may contact you about your account, lessons, payments, support requests, security, and platform updates by email, in-app notification, and, where you have provided a phone number, by SMS or WhatsApp for transactional messages such as lesson reminders, schedule changes, and payment notices.
Marketing messages by SMS or WhatsApp are sent only with a separate opt-in. Marketing emails include an unsubscribe link.
12. Artificial Intelligence
AlpacaLingua may use Student performance information to personalize lessons, recommend exercises, generate homework, and improve internal tools. AlpacaLingua does not use identifiable Student information to train public or third-party general-purpose AI models.
AI is not the final decision-maker for complaints, account restrictions, or a Student’s level. A qualified person reviews those decisions.
13. Platform Availability
We work to keep the Service reliable, but we do not guarantee that it will always be available, error-free, or uninterrupted. We may update, change, pause, or remove features as the platform evolves.
14. No Guarantee of Results
AlpacaLingua is designed to support English learning, but results depend on many factors including attendance, effort, practice, lesson frequency, teacher feedback, and personal learning habits.
We do not guarantee any specific exam score, fluency level, job outcome, immigration result, school admission, or other specific outcome.
15. Third-Party Services
The Service uses third-party providers, including Firebase for hosting and storage, Stripe for payments, Google Meet for video lessons, Google Analytics for usage measurement, and Google Ads and Meta advertising tools for marketing on public pages. We may add or replace providers over time and will update the Privacy Policy accordingly.
We are not responsible for third-party services that we do not control, but we select reputable providers and require them to handle information only as needed to provide their service to AlpacaLingua.
16. Account Suspension or Termination
We may suspend or terminate access if a user violates these Terms, creates risk for the Service or its users, fails to pay required fees, abuses other users, or misuses the Service.
Where a complaint involving a Teacher is supported by credible information, or where temporary action is reasonably necessary to protect a Student, AlpacaLingua may temporarily restrict or suspend the Teacher pending review. A temporary suspension is not a final finding of wrongdoing.
You may stop using the Service at any time. Cancellation of a recurring subscription is described in the Subscription and Automatic Renewal Policy.
17. Intellectual Property
The AlpacaLingua name, logo, mascot, design, platform, software, curriculum, original materials, and related brand assets belong to UnixBox Corp or its licensors. You may not use our brand, materials, or platform content without permission, except as allowed through your account.

18. Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
19. Limitation of Liability
To the maximum extent permitted by law, AlpacaLingua and UnixBox Corp are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, lost opportunities, or specific learning outcomes.
Our total liability for any claim related to the Service is limited to the amount you paid to AlpacaLingua for the service involved in the claim during the 12 months before the event giving rise to the claim, unless the law requires otherwise.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts of competent jurisdiction located in the State of New York, and you consent to the personal jurisdiction of those courts.
21. Changes to These Terms
We may update these Terms as the Service changes. When we make material changes, we will notify affected users by email to the account email address, with reasonable notice before the change takes effect.
Continued use of the Service after the effective date of an update means you accept the updated Terms. If you do not accept the update, you may stop using the Service and, where applicable, cancel your subscription through the Stripe customer portal.
